CONSTITUTION

OF THE

GREATER CLEVELAND SCHOOLS
SUPERINTENDENTS’ ASSOCIATION

 

ARTICLE I – NAME

This organization shall be known as the Greater Cleveland Schools Superintendents’ Association (GCSSA).


ARTICLE II – PURPOSE

The purpose of this organization shall be to improve the educational programs and operations of the school districts of member superintendents and to improve the status of school superintendents. The organization will seek to achieve this purpose by:

  1. Influencing educational policy and trends
  2. Establishing positions on issues and problems.
  3. Speaking for the superintendents of the organization as a group.
  4. Cooperating with other organizations in improving the educational opportunities for children.
  5. Providing inservice opportunities for the professional growth of superintendents.
  6. Providing opportunities for social interaction of members.
  7. Protecting and promoting the interests of a free public education.


ARTICLE III – MEMBERSHIP

The voting membership of this organization shall be dues paying superintendents of the public school systems of Northeastern Ohio as designated by the Executive Committee. The Executive Committee is empowered to establish other categories of non-voting membership, i.e. associate, retired, and institutional.

The Executive Committee shall, from time to time, set and revise the dues structure for the various membership classes.


ARTICLE IV - OFFICERS AND DUTIES

Section 1. List of Officers:

The Officers of this Association shall be a President, a President-Elect, and a Treasurer.

Section 2. President:

The President shall preside at all meetings of the Association, and shall be an ex-officio member of all committees which may be appointed.

Section 3. President-Elect:

In the temporary absence of the President, the President-Elect shall assume the duties of the President. The President-Elect shall be a member of the Executive Committee.

Section 4. Treasurer:

The Treasurer shall keep an itemized account and make a monthly accounting of receipts and expenditures. The Treasurer is a member of the Executive Committee.

Section 5. Executive Secretary

The Executive Secretary, who will be employed by and serve at the pleasure of the Executive Committee, shall be the administrative officer of the Association. The duties of the office shall be established by the Executive Committee which shall include the requirement that an annual audit of the records of the Association be completed. The Executive Secretary is an ex-officio member of the Executive Committee.

Section 6. Other Personnel:

The Association shall employ such staff members as deemed necessary by the Executive Committee.

Section 7. Term of Office:

  1. The President shall serve a term of one year.
  2. The President-Elect shall serve a term of one year, after which, the President-Elect shall become President.
  3. The Treasurer shall serve a term of one year.


ARTICLE V – MEETINGS

Section 1. Regular Meetings:

A regular meeting shall occur on the second Tuesday of each month, September through June, unless otherwise established by the Executive Committee.

Section 2. Special Meetings:

Special meetings may be called by the President upon his own initiative or at the request of three members.


ARTICLE VI – VACANCIES

Section 1. President:

In case of a vacancy in the Presidency, the President-Elect shall become President.

Section 2. President-Elect and Treasurer

The Executive Committee will fill vacancies in the positions of President-Elect and Treasurer until the next regular meeting.


ARTICLE VII – ELECTION OF OFFICERS

Section 1. Time:

The election of officers for the ensuing year shall take place at the regular May meeting each year.

Section 2. Method:

A Nominating Committee of four members appointed by the President, not later than the regular meeting in April each year, shall prepare a list of candidates for officers from the membership to be voted upon at the regular May meeting.


ARTICLE VIII – COMMITTEES

Section 1. Executive Committee

The organization shall have an Executive Committee composed of the President, President-Elect, immediate Past President, Treasurer, three of the membership appointed by the President and the Executive Secretary (ex-officio). The Executive Committee shall develop procedures for the expenditure of the funds of the Association. All expenditures shall be reported to the Executive Committee at a subsequent meeting.

Section 2. Special Committees:

The President shall be privileged to appoint whatever special committees he/she deems necessary for the efficient and effective operation of the Association.


ARTICLE IX – QUORUM

A quorum for the transaction of business by the Association shall consist of one third of the membership.


ARTICLE X – AMENDMENT

Amendments to this constitution may be made at any regular meeting of the Association by a majority vote, provided the proposed change(s) are submitted to the membership, in writing, at least ten days prior to the meeting.

 

ARTICLE XI – ADOPTION OF THIS CONSTITUTION

This Constitution shall become effective as soon as approved by a majority of the membership.
